Diane J. Hvolka is a partner in the Real Estate Group of Gilchrist & Rutter. Ms. Hvolka's practice focuses on commercial real estate and business transactions, including office & retail leasing; financing; purchase and sale of commercial and industrial properties; development agreements; tax-deferred exchanges; reciprocal easement agreements; CC&Rs; ground leases; title insurance; and sale-leaseback transactions.
Ms. Hvolka received her J.D. magna cum laude from Pepperdine University School of Law in Malibu, California, ranking in the Top Five Percent of her class. A Senior Staff Member of Law Review, Ms. Hvolka also received the AmJur Award in each of Remedies and Constitutional Law (Federal and State) and served as a judicial extern for the Hon. Margaret A. Nagle, United States District Court, Central District of California.
Ms. Hvolka earned her B.A. cum laude from the University of California, Irvine, in Economics, where she was a Dean's List honoree.
| Representative Experience

- Represented the landlord in connection with negotiating and drafting a lease for over 350,000 square feet, for a 15 year term, in a first-class office building in downtown Los Angeles
- Negotiated and drafted major office leases on behalf of landlords, including the pre-lease of 270,000 square feet in a high-rise office tower in Irvine, and the lease of 105,000 square feet at the Water Garden in Santa Monica, CA.
- Negotiated and drafted numerous leases and amendments on behalf of commercial, industrial and retail landlords and tenants.

Drafted Disposition and Development Agreement and Ground Lease on behalf of the Joint Powers Authority for the development of the Grand Avenue Project in downtown Los Angeles, which will consist of up to 3.2 million square feet of retail space, hotel, and high-rise residential units.
- Handled title insurance review and documentation for various properties, including a portfolio of 30+ hotels located in various states.

Negotiated and documented a $240 million construction loan for a high-rise building in Irvine, CA; negotiated and documented numerous securitized mortgage transactions and mezzanine loan transactions, involving loans ranging in size from $2 million to $140 million.

Represented property owners in connection with management and service agreements, including janitorial and security services, food preparation, and service and general property management.
